Ownership, Authority & Authenticity

Business Asset Buyer wants legitimate commercial opportunities and takes ownership, authority and product authenticity seriously.

Ownership or authority to sell

A person or organization submitting property must either own the property or be authorized by the lawful owner or controller to offer it for evaluation and sale. Intermediaries, brokers and resellers are not automatically excluded, but they must accurately disclose their relationship to the property and the actual owner/controller.

Liens, lender interests and legal processes

Known liens, financing interests, secured-creditor claims, warehouse liens, court processes, receiverships, insurance interests, customs/bonded status or other restrictions that may affect title or transfer must be disclosed. Business Asset Buyer does not determine legal ownership or provide legal advice. The appropriate party is responsible for establishing the right and authority to sell.

Stolen or unlawfully obtained goods

Business Asset Buyer does not knowingly purchase stolen, unlawfully obtained, diverted or fraudulently acquired property. We may request documents or other evidence reasonably necessary to verify ownership, source, authority, chain of control, shipment history or legitimacy.

Counterfeit and unauthorized goods

Business Asset Buyer does not knowingly purchase counterfeit goods. Brand, trademark, licensing, distribution-channel, serialization or authenticity concerns may require additional verification. A seller must not misrepresent counterfeit, replica, materially altered or unauthorized goods as authentic merchandise.

Intermediaries and heavily shopped opportunities

We will consider opportunities presented by legitimate intermediaries, but incomplete information, unclear authority, multiple undisclosed layers of brokers, or property marketed broadly without reliable source information can make evaluation difficult. We may prioritize direct owners, authorized controllers and intermediaries who can identify the actual source and provide dependable information.

Right to decline or request verification

Business Asset Buyer may decline an opportunity, pause evaluation, require additional documentation or condition any transaction on satisfactory verification, inspection, due diligence and mutually agreed terms.

Draft policy for launch preparation. Final production language should be reviewed by qualified counsel, particularly for state-specific lien rights, secured transactions, claims, customs/bonded goods and regulated product categories.
